Elite Language Institute. Terms and conditions

  • 1. Definitions.
  • 1.1 'The Company' means Elite Minded Limited, delivering language training through its trading names Elite Language Institute and ELI.
  • 1.2 'The Client' means:
  • 1.2.1 The individual in whose name the booking is made.
  • 1.2.2 The person, firm or corporation identified as enrolling a Participant on a training course or using The Company Services.
  • 1.3 'The Participant' means the person attending a training course.
  • 1.4 'Obligations of The Client' means those set out in Clause 3 of these Terms and Conditions.
  • 1.5 'Obligations of The Company' means those set out in Clause 7 of Terms and Conditions.
  • 1.6 'The Payment Fee' means the sum payable to The Company for its Services.
  • 1.7 'The Services' means any service supplied by The Company. This includes private tuition, corporate training, language classes, training courses, language services as well as arrangements made by The Company to organise the provision of The Services. This list is not exhaustive.
  • 1.8 'The Teacher' means the individual selected by The Company, as Company Personnel to conduct The Services.
  • 1.9 'VAT' means value added tax. The Company's prices are subject to VAT. Prices for English language training are not subject to VAT.
  • 1.10 'Working Days' means every day of the week excluding Saturday, Sunday and UK statutory holidays.
  • 2. Acceptance.
  • 2.1 The Client accepts these Terms and Conditions by paying part of or the whole of The Payment Fee.
  • 2.2 Agreements with and promises made by representatives or a personnel of The Company shall not be binding unless confirmed by a Director of The Company in writing.
  • 3. The Obligations of the Client.
  • The Client must:

  • 3.1. Be at least 18 years of age to register The Participant.
  • 3.2 Be at least 18 years of age to use The Company's Services.
  • 3.3 Allow The Company a minimum of 15 Working Days to arrange the assessment or the first lesson for private tuition and corporate training. This 15 Working Day period starts running from the receipt of The Payment Fee.
  • 3.4 Sign the time sheet provided by The Teacher at the start or end of each lesson. This shows the number of lessons completed and acts as a register.
  • 3.5 Notify The Company of any cancellation following the procedure stated in clause 6 of these Terms and Conditions.
  • 3.6 Notify The Company of any problem related to the teaching as soon as possible to enable an early resolution.
  • 3.7 The Participant is expected to attend their sessions at the scheduled time.
  • 3.8 Notify The Company of any change in the circumstances of the language training (eg: location, time within one working day with the agreement of the teacher. Some additional fees may be added if changes are made in conjunction with the prices policy of the company).
  • 3.9 Ensure that any premises (work, home...) used for the language training comply with the basic health and safety standards.
  • 3.10 Behave towards the teacher with correctness and politeness throughout the learning.
  • 4. The Payment Fee.
  • 4.1 Note that prices quoted are subject to VAT except for English language training.
  • 4.2 The Payment Fee must be made directly to The Company. Any direct financial relationship with The Teacher is forbidden. Failure to comply with this prohibition shall result in a civil action.
  • 4.3 The Payment Fee must be received prior to The Services commencement unless otherwise specifically agreed in writing by a Director of The Company.
  • 4.4 Note that The Payment Fee is non-refundable and non-transferable unless otherwise stated in Clause 6 of these Terms and Conditions.
  • 4.5 Prices quoted may vary in time for a same Service. Refunds cannot be made for difference in Service fees.
  • 5. Methods of Payment.
  • The Client can pay by:

  • 5.1 UK Debit Card.
  • 5.2 UK Credit Card: + 2.75%
  • 5.3 USD or EUR Debit / Credit Card: + 3.75%
  • 5.4 American Express: + 3.6 %
  • 5.5 Cheque: Payable to ELITE MINDED LIMITED and sent to: Elite Minded LTD - 68 King William Street, London EC4N 7DZ.
  • 5.6 Cash: At the above address.
  • 6. Cancellations.
  • 6.1 General cancellation policy
  • Cancellations must be made by email to both cancellation@elitelanguageinstitute.co.uk and info@elitelanguageinstitute.co.uk
  • 6.2. Specific cancellation policy for private tuition and corporate training.
    1. 6.2.1 Course fees are not refundable once The Services have commenced.
    2. 6.2.2 One-to-one and two-to-one sessions cancelled with less than 24 working hours notice will be charged or deducted in full.
    3. 6.2.3 Group sessions will continue to take place even if some Participants are absent. The Client is invoiced for the number of Participants initially enrolled in the group.
    4. 6.2.4 Group sessions cancelled with less than 48 working hours notice will be charged or deducted in full.
    5. 6.2.5 If the number of Participants increases, The Client must notify The Company in writing.
  • 6.3 Specific cancellation policy for Public courses.
  • For the purposes of this policy: a Public Course is a group course open to members of the public. That includes Language Classes, Cultural Awareness and Language Workshops, this list is not exhaustive. A "Term” is a Public Course lasting for 10 weeks . A "Block of Terms" is a sequence of Terms booked in advanced.
    1. 6.3.1 General conditions
      1. a) We require a minimum of 5 people to run a Term. In the event that The Company does not have enough participants to run a Term, The Company reserves the right to cancel it, in which case fees will be refunded in full.
      2. b) No refund is made for cancellation received less than 7 Working Days before the start date of the Term. Furthermore, as our Public Courses and Terms are organised for a limited number of participants, we regret that no partial refund or transfer can be arranged for lessons not attended.
      3. c) The Company does not allow credits, transfers between courses or transfers between Participants.
      4. d) All refunds will be paid to The Client within 10 Working Days from the first scheduled day of the Term or the date of cancellation, whichever is earlier.
      6.3.2 Cancellation when the booking has been made for one single Term only.
      1. The client will be refunded :
      2. If notice received at least 21 days before the start of their Term: 70 % of the Term fee.
      3. If received between 20 days and 7 Working Days before the start of the Term: 50 % of the Term fee.
      4. If received less than 7 Working Days before the start of the Term: No refund available.
    2. 6.3.3 Cancellation when the booking has been made for two Terms
      1. a) If The Client cancels before the start of the first Term they will be refunded:
      2. If notice received at least 21 days before the start of the course: 70 % of Block of Terms fee.
      3. If received between 20 days and 7 Working Days before the start of the Term: 50 % of the Block of Terms fee.
      4. If received less than 7 Working Days before the start of the Term: 60 % of (Block of Terms fee minus the Cost of one single Term).
      5. b) If The Client cancels before the start date of the last Term they will be refunded:
      6. If notice received 21 days or more before the start of the Term: 60 % of (Block of Terms fee minus the Cost of one single Term).
      7. If received between 20 days and 7 Working Days before the start of the Term: 40 % of (Block of Terms fee minus the Cost of one single Term).
      8. If received less than 7 Working Days before the start of the Term: No refund available.
    3. 6.3.4 Cancellation when the booking has been made for three Terms
      1. a) If The Client cancels before the start of the first Term they will be refunded:
      2. If notice received at least 21 days before the start of their Term: 70 % of Block of Terms fee.
      3. If received between 20 days and 7 Working Days before the start of their Term: 50 % of the Block of Terms fee.
      4. If received less than 7 Working Days before the start of their Term: 60 % of (Block of Terms fee minus one Single Term Fee).
      5. b) If The Client cancels before the start of the second Term they will be refunded:
      6. If notice received at least 21 days before the start of the course: 60% of (Block of Terms fee minus one Single Term Fee).
      7. If received between 20 days and 7 Working Days before the start of their Term: 40% of (Block of Terms fee minus one Single Term Fee).
      8. If received between less than 7 Working Days before the start of their Term: 80% of (Block of Terms fee minus two Single Term Fee).
      9. c) If The Client cancels before the start of the third Term they will be refunded:
      10. If notice received at least 21 days before the start of their Term: 80% of (Block of Terms fee minus two Single Term Fee).
      11. If received between 20 days and 7 Working Days before the start of their Term: 50% of (Block of Terms fee minus two Single Term Fee).
      12. If received less than 7 Working Days before the start of their Term: No refund available.
    4. 6.3.5 Cancellation when the booking has been made for four Terms
      1. a) If The Client cancels before the start of the first Term they will be refunded:
      2. If notice received at least 21 days before the start of the course: 70 % of Block of Terms fee.
      3. If received between 20 days and 7 Working Days before the start of the course : 50 % of the Block of Terms fee.
      4. If received between less than 7 Working Days before the start of the course : 60 % of (Block of Terms fee minus the Cost of one single Term).
      5. b) If The Client cancels before the start of the second Term they will be refunded:
      6. If notice received at least 21 days before the start of the course : 60% of (Block of Terms fee minus one Single Term Fee).
      7. If received between 20 days and 7 Working Days before the start of the course : 40% of (Block of Terms fee minus one Single Term Fee).
      8. If received less than 7 Working Days before the start of the course : 60% of (Block of Terms fee minus two Single Terms Fee).
      9. c) If The Client cancels before the start of the third Term they will be refunded:
      10. f notice received at least 21 days before the start of the course: 60% of (Block of Terms fee minus two Single Terms Fee).
      11. If received between 20 days and 7 Working Days before the start of the course: 40% of (Block of Terms fee minus two Single Terms Fee).
      12. If received less than 7 Working Days before the start of the course: no refund available.
      13. d) If The Client cancels before the start of the fourth Term they will be refunded:
      14. If notice received at least 21 days before the start of the course: 20% of (Block of Terms fee minus the Cost of two single Terms).
      15. If received between 20 days and 7 Working Days before the start of the Term: No refund available.
    5. If received less than 7 Working Days before the start of the Term: No refund available.
  • 7. Obligations of The Company.
  • The Company must:
  •  
  • 7.1. Specific obligations for private tuition and corporate training.
    1. 7.1.1 Organise a full refund of the Payment Fee to The Client if The Company has not been able to arrange The Client's first lesson within 15 working days of the Payment Fee.
    2. 7.1.2 Contact The Client immediately in the event that The Teacher needs to cancel a lesson.
    3. 7.1.3 Re-arrange a cancelled lesson if possible during the same week.
    4. 7.1.4 Provide a replacement Teacher in the event that The Teacher can no longer continue to provide The Services at the Client's convenience within the limits stated in clause 8.4. of these terms and conditions.
  • 7.2. Specific obligations for Public Classes.
    1. 7.2.1 In the event of unforeseen circumstances arising, The Company will endeavour to make reasonable, alternative arrangements.
    2. 7.2.2 Provide The Participant with the relevant course material. Course material refer to either a course book, and/or photocopied materials.
    3. 7.2.3 Provide a replacement Teacher in the event that The Teacher can no longer continue with the Course.
  • 8. Company Services.
  • 8.1 The Services commence on receipt part or whole of The Payment Fee or on acceptance by writing of a proposal.
  • 8.2 The Services may be subject to a separate agreement between The Client and The Company. Should no such contract exist, the terms and conditions described herein shall apply.
  • 8.3 The minimum duration of each session for Private Tuition and Corporate Training is 1.5 hour.
  • 8.4 The Services are provided by The Company Monday to Friday from 8 am to 8 pm. Week-end sessions depend on availabilities.
  • 8.5 The Company shall reserve the right to modify or cancel any session or course in the event of unforeseen circumstances arising. Session, Term and Course modifications can include start and end date, time and location.
  • 8.6 The Company reserves the right to make changes of Teachers whenever it considers this necessary.
  • 9. Use of Company Personnel.
  • 9.1 On acceptance of a proposal or by booking a Service, The Client agrees not to make any separate arrangement with a Relevant Person and not to use The Services provided by The Company Personnel other than through The Company. The Company may give full contact details of the Relevant Person to The Client or The Participant to facilitate communication during The Services but this is on the understanding that they will only use this information for the purposes of The Company business, and that they will not share this information with third parties.
  • 9.2. If any Client, Participant or associate using the services of a Relevant Person other than pursuant to a contract with The Company, The Client shall forthwith pay to The Company: (a) where the Relevant Person becomes an employee of such Client or associate a sum equal to 15% of the gross annual remuneration of such Relevant Person or a sum of £8,500 (exclusive of VAT), whichever shall be the higher, and (b) in any other cases, the sum of £5,000 (exclusive of VAT).
  • 9.3. For the purposes of this Clause "Relevant Person" means any Teacher or other person who shall have been engaged either as an employee or independent contractor by The Company and who shall provide services for such Client directly or indirectly through The Company within 12 months preceding the use of their services by The Client or an associate as a foresaid.
  • 10. Public Holidays.
  • Courses which take place on a Monday might be affected by Bank Holidays. Some lessons do not run on Bank Holidays and missed lessons are postponed until the end of the course according to the class timetable.
  • 11. Upgrading and down grading courses.
  • 11.1 No refunds will be made to The Client if they exchange their original choice of course for one of lesser value.
  • 11.2 If The Client exchanges their original choice of course for one of greater value, they must pay the difference between the two at the time of requesting the upgrade.
  • 12. Jurisdiction.
  • These terms and conditions shall be governed and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
